Terms of Service

These Terms of Service ("Terms") govern access to and use of the TRUCount Pro platform and related services ("Service"). By creating an account or using the Service, you agree to these Terms.

1. Parties and acceptance

The Service is provided by TRUCount Pro (insert registered legal entity name). If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

If you do not agree to these Terms, do not use the Service.

2. The Service

TRUCount Pro provides a software platform for monitoring, managing, and reporting on connected devices and related operational data (features vary by subscription and configuration).

We may modify, suspend, or discontinue features with reasonable notice where practicable. Beta or preview features are provided as-is.

3. Accounts and access

You must:

  • Provide accurate registration information and keep it up to date
  • Keep credentials confidential and enable two-factor authentication where offered
  • Notify us promptly of unauthorised access
  • Ensure users you invite or manage comply with these Terms

We may suspend or terminate accounts that violate these Terms or pose a security risk.

4. Acceptable use

You must not:

  • Use the Service unlawfully or infringe third-party rights
  • Attempt to bypass security, access other tenants' data, or probe systems without permission
  • Upload malware, interfere with availability, or overload infrastructure
  • Reverse engineer the Service except where law permits
  • Use the Service to send spam or unsolicited communications

5. Customer data

Your data. You retain ownership of data you submit ("Customer Data"). You grant us a licence to host, process, and display Customer Data solely to provide and improve the Service, comply with law, and as described in our Privacy Policy.

Responsibility. You are responsible for the accuracy, legality, and backup of Customer Data, and for obtaining any consents required from your end users.

DPA. Where we process personal data on your behalf, a Data Processing Agreement applies (available on request for business customers).

6. Intellectual property

We own the Service, software, branding, and documentation. These Terms do not grant you ownership of our IP. You may not copy or create derivative works except as permitted by law or written agreement.

7. Fees and payment

If your subscription is paid, fees, billing cycles, and payment methods are as agreed in your order or invoice. Failure to pay may result in suspension. Taxes are your responsibility unless stated otherwise.

8. Confidentiality

Each party will protect the other's confidential information with reasonable care and use it only for purposes of the relationship.

9. Warranties and disclaimer

The Service is provided "as is" and "as available" to the extent permitted by law. We do not warrant uninterrupted or error-free operation. Sensor readings and alerts are informational — you remain responsible for operational and safety decisions.

10. Limitation of liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, special, or consequential losses, or loss of profits, data, or goodwill
  • Our total liability arising from the Service in any 12-month period is limited to the fees you paid us in that period (or £100 if no fees applied)

Nothing limits liability for death, personal injury caused by negligence, fraud, or other liability that cannot be excluded by law.

11. Indemnity

You will indemnify us against claims arising from your breach of these Terms, your Customer Data, or your use of the Service, except to the extent caused by our breach.

12. Term and termination

Either party may terminate according to your subscription agreement. You may request account closure via Privacy & Data in the app. We may terminate or suspend for material breach.

On termination, access ceases and we will delete or return Customer Data per our retention policy and DPA.

13. Governing law

These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, without prejudice to mandatory consumer rights.

14. Changes

We may update these Terms. Continued use after notice constitutes acceptance of material changes. If you disagree, stop using the Service and close your account.
